Aug 2, 2026 is enforcement day for high-risk AI systems. Most US founders haven't started compliance work yet. Many think "we'll deal with it when EU revenue justifies it" — that's the same mistake startups made with GDPR in 2018, and it cost them dearly when complaints were filed.
This guide is for US AI/SaaS companies (10-200 employees) considering or already operating in EU markets. Legal-grade specifics, written by someone running an EU AI Act audit service for SMBs.
EU AI Act applies extraterritorially to any AI system whose output is used in the EU — even if your company has no EU office. Penalties: €15M or 3% global turnover (high-risk), €35M or 7% (banned uses). Why this applies to you (extraterritorial scope)
Article 2 of the EU AI Act defines scope:
- Providers placing AI systems on the EU market (regardless of where you're established)
- Deployers located in the EU
- Providers and deployers located outside the EU "where the output of the AI system is used in the Union"
That last clause is the killer. If your CV screening tool processes a candidate based in Amsterdam, you're a provider in scope. If your credit scoring model evaluates a French applicant, you're in scope. If your SaaS dashboard generates AI-driven recommendations consumed by a German subsidiary, you're in scope.
This is the GDPR pattern. Article 3 GDPR caught most US tech firms off guard in 2018; AI Act Article 2 is structurally identical.
Risk tiers — which one is yours?
EU AI Act has 4 risk categories. Most US SaaS will fall into limited or minimal risk. The expensive question is: are you accidentally high-risk?
🔴 Tier 0 — Unacceptable risk (banned)
Article 5 prohibitions. If your product does any of these, stop EU operations immediately:
- Social scoring by government or public authorities
- Real-time biometric ID in public spaces (with narrow law enforcement exceptions)
- Emotion recognition in workplace or education
- Predictive policing based solely on profiling
- Untargeted facial scraping from internet/CCTV
- Subliminal manipulation AI
- Exploitation of vulnerabilities (children, disability, socioeconomic)
Penalty: €35M or 7% global turnover. There's no compliance path — it's banned.
🟠 Tier 1 — High risk (Annex III)
This is where most US AI/SaaS get caught. Annex III lists 8 areas:
- Biometric identification and categorization (excluding verification for personal use)
- Critical infrastructure management (energy, transport, water)
- Education and vocational training — admissions, grading, plagiarism detection
- Employment and worker management — CV screening, performance ranking, hiring decisions
- Essential services — credit scoring, insurance pricing, healthcare, public services eligibility
- Law enforcement — risk assessment, evidence evaluation
- Migration and border control — risk assessment, asylum claim evaluation
- Administration of justice — judicial decision support, legal research with autonomy
If your AI feature touches any of these, you have Articles 9-15 obligations: risk management, data governance, technical documentation, logging, transparency, human oversight, accuracy/robustness/cybersecurity. Plus Annex VI conformity assessment, EU database registration, post-market monitoring.

🟡 Tier 2 — Limited risk
Article 50 transparency obligations only. If you have:
- Chatbots interacting with humans
- AI-generated content (deepfakes, synthetic media)
- Emotion recognition (informational only, not workplace/education)
- Biometric categorization (non-prohibited contexts)
You need transparency disclosure — user must know they're interacting with AI / content is AI-generated. This is mostly UI text and ToS updates. Cost: €500-2,000.
🟢 Tier 3 — Minimal risk
Spam filters, basic recommenders, AI in video games, marketing personalization, inventory management AI. No mandatory obligations. Voluntary code of conduct optional.
This is most US SaaS. Cost: €0.
The GDPR analogy — what to learn (and what NOT to)
If you've been through GDPR, AI Act will feel familiar. Same EU regulatory pattern: extraterritorial scope, large penalties, prescriptive technical requirements, enforcement by national authorities.

What to learn from GDPR experience
- Don't wait for the first complaint. Companies that started GDPR work in 2017 finished in 2018; companies that started in 2018 paid for emergency consulting at 5x the rate.
- Documentation is the real product. GDPR DPIAs and RoPAs took 3-5x more time than expected. AI Act technical documentation (Annex IV) will be similar.
- Consultants vary wildly in quality. Big4 charges $50k for what specialized boutiques deliver for $1k. Same expertise, different overhead.
- Tooling helps but doesn't replace judgment. Vanta/OneTrust automate evidence collection but you still need someone who understands your stack.
- Engineering buy-in matters. If your CTO doesn't understand the risk, compliance becomes external paperwork that will fail an audit.
What's DIFFERENT from GDPR (and easier)
- Narrower scope. GDPR applied to all personal data processing. AI Act only applies to AI systems falling into specific risk categories. Most products are minimal risk.
- More deterministic test. "Is your AI in Annex III categories?" is less ambiguous than GDPR "legitimate interest" balancing test.
- Provider/deployer split is cleaner. If you use OpenAI API, you're a deployer of GPAI; OpenAI is the provider. Provider vs deployer details.
- Less DPO drama. No mandatory Data Protection Officer equivalent for AI Act (yet).
- Transition period for GPAI providers (Aug 2, 2027) gives breathing room.

What to do this quarter (Q3 2026 — pre-deadline)
Step 1 — System inventory (1-2 weeks)
List every AI feature in your product. For each: what it does, what data it uses, who consumes the output. Most US SaaS are surprised how much "AI" is hidden in features they didn't think of.
Common hidden AI:
- Spam filters (minimal risk)
- Search ranking (minimal risk)
- Recommendation engines (limited risk if user-facing)
- Customer support routing (limited risk if affecting service quality)
- Fraud detection (potentially high-risk if affecting essential services)
- Content moderation (limited or high-risk depending on use)
Step 2 — Annex III classification (1 week)
For each AI feature, run through decision tree. Output: which features fall into high-risk vs limited vs minimal.
Be conservative. If borderline, treat as high-risk and get legal opinion before public deployment.
Step 3 — Provider/deployer mapping (3-5 days)
For each AI feature, who is the provider (developer) and who is the deployer (user)?
- If you trained the model from scratch → you're the provider
- If you fine-tuned someone's model significantly → likely provider of derived model
- If you use API (OpenAI, Anthropic, etc.) for inference → you're a deployer
- If you white-label someone else's AI → you're a distributor + deployer
Step 4 — EU representative (if no EU office)
Article 22 requires a written mandate with an EU representative for non-EU providers of high-risk systems. Cost: $500-3,000/year. Use a local law firm or specialized service.
Skip if all your features are minimal or limited risk.
Step 5 — Tech compliance for high-risk (8-16 weeks)
If any feature is high-risk:

Common mistakes US founders make
Mistake #1 — "We don't have EU users yet"
Doesn't matter. Once you do, you're in scope retroactively for compliance. Better to design compliance-first than retrofit. Plus VC due diligence will ask about EU AI Act regardless of current EU exposure.
Mistake #2 — "Our terms of service exclude EU users"
Doesn't work for AI Act (or GDPR). If a user reaches your product despite the ToS, regulators will pursue you. Real geo-blocking with payment processor controls + IP filters is what works, and most US founders don't actually implement it.
Mistake #3 — "OpenAI handles compliance for us"
Half-true. OpenAI handles GPAI provider obligations for the foundation model. YOU are responsible for your system that uses GPT-4 — including any Annex III obligations if your use case is high-risk. Provider vs deployer in GPAI context.
Mistake #4 — "We'll wait for enforcement to ramp up"
EU regulators learned from GDPR rollout. They'll target visible non-compliance early to set precedent. First wave of enforcement actions expected Q4 2026 - Q1 2027. Media-prominent targets first.
Mistake #5 — "We'll use Vanta/Drata for AI Act"

The €15M math — is it real?
Article 99(4) penalty for high-risk violations: €15M or 3% global turnover, whichever is higher. Per Article 99(6), SMBs (under 250 employees AND under €50M turnover) get the lower of the two — so €15M effective ceiling.

Yes. After Aug 2, 2026, all high-risk systems placed on EU market must be compliant from day one. No grandfathering for new launches.
"Do we need to publish our training data?"

- Most US SaaS are minimal risk — don't panic. Spam filters, recommendations, productivity AI = no AI Act burden.
- Transparency is the cheapest fix — Article 50 disclosures cost $0-500 to implement.
